  • “Customized products” means goods made, cut, engraved, printed, modified, sourced, produced, or prepared according to customer specifications, including made-to-measure, cut-to-size, branded, personalized, special production, or special procurement items.
  • “Website” means CorkMart.com and any related pages, checkout systems, product pages, forms, content, and online services operated by CorkMart.

3. Scope of These Terms

These Terms apply to all use of CorkMart.com and to all purchases made through our online store, by email, by quotation, or by any other sales channel operated by CorkMart, unless separate written terms are expressly agreed between CorkMart and the customer.

If a specific written quotation, pro forma invoice, purchase agreement, or B2B contract issued by CorkMart contains terms that differ from these Terms, the specific written agreement will prevail only for the order to which it relates.

These Terms do not limit any mandatory consumer rights that may apply under Portuguese law, European Union law, or other mandatory consumer protection rules applicable to your purchase.

4. Eligibility and Use of the Website

By using our website or placing an order, you confirm that you are legally capable of entering into a binding contract.

If you are purchasing on behalf of a company, organization, or other legal entity, you confirm that you have authority to bind that entity to these Terms.

5. Product Information and Natural Cork Characteristics

```

Cork is a natural material. Variations in colour, shade, grain, porosity, density, pattern, surface texture, thickness tolerance, and visual appearance are normal and expected characteristics of genuine cork.

We make reasonable efforts to display product colours, textures, dimensions, specifications, and descriptions accurately. However, product images are for illustrative purposes and may vary depending on screen settings, lighting, production batch, natural cork variation, photography, and manufacturing tolerances.

Natural variations in cork are not considered defects, non-conformities, or grounds for a defect claim. This does not limit any statutory withdrawal rights that may apply to eligible standard consumer purchases.

Product specifications, dimensions, weights, technical information, and availability may be updated or corrected at any time. Minor typographical, photographic, pricing, or technical errors may be corrected without prior notice.

Where a product is intended for a technical, construction, acoustic, thermal, flooring, wall, insulation, craft, industrial, or professional application, it is the customer’s responsibility to verify that the product is suitable for the intended use, installation method, local standards, substrate, climate, humidity conditions, and applicable regulations before purchasing or installing it.

6. Samples, Batches, and Colour Matching

```

Samples are intended to provide an approximate representation of the material, texture, colour, thickness, and finish. Because cork is natural and batch-dependent, samples may not be identical to the final goods supplied.

For projects requiring strict colour, density, thickness, or batch consistency, customers should contact us before ordering. CorkMart cannot guarantee perfect batch matching unless this has been expressly confirmed in writing before the order is placed.

7. Orders and Order Acceptance

```

When you place an order, you are making an offer to purchase the selected products under these Terms. An automatic order confirmation email only confirms that we have received your order. It does not necessarily mean that the order has been finally accepted.

CorkMart may refuse, cancel, or limit any order where reasonably necessary, including where:

  • the product is unavailable or discontinued;
  • there is an error in product information, pricing, stock, shipping, taxes, or checkout calculation;
  • payment is not authorized, is reversed, or appears fraudulent;
  • shipping to the destination is unavailable, restricted, unsafe, or commercially unreasonable;
  • the order appears to be placed for fraudulent, abusive, illegal, or unauthorized purposes;
  • the customer has provided incomplete, inaccurate, or unverifiable information;
  • the order requires special production or logistics that cannot be fulfilled as requested.

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled items, unless we are legally entitled to retain any amount due to fraud, abuse, breach of contract, or costs already incurred for a custom or B2B order.

8. B2C and B2B Orders

```

CorkMart serves both Consumers and Business customers. Different legal rules may apply depending on whether the order is B2C or B2B.

8.1 B2C Consumer Orders

B2C orders are purchases made by Consumers for personal, non-professional use. Consumers may benefit from mandatory consumer rights, including the legal guarantee of conformity and, where applicable, the statutory right of withdrawal for eligible distance purchases.

8.2 B2B, Wholesale, Trade, and Professional Orders

B2B orders include purchases made for business, resale, commercial, professional, construction, industrial, or institutional use. B2B orders are not covered by the consumer right of withdrawal and are generally final once accepted, produced, packed, dispatched, or delivered, unless otherwise agreed in writing or required by mandatory law.

B2B customers are responsible for verifying product suitability, technical requirements, dimensions, tolerances, installation conditions, legal compliance, and local regulations before placing an order.

Bulk, wholesale, made-to-order, special procurement, and custom B2B orders may require full or partial advance payment before production, reservation, sourcing, or dispatch. Any specific payment terms must be agreed in writing by CorkMart.

9. Customized, Personalized, and Made-to-Order Products

```

Customized products include goods that are cut, engraved, printed, branded, made-to-measure, modified, specially produced, specially sourced, or otherwise prepared according to customer instructions.

The customer is responsible for checking and approving all specifications before confirming the order, including measurements, quantities, thicknesses, colours, files, logos, artwork, spelling, layout, material choice, and intended use.

Once a customized, personalized, made-to-order, special production, or special procurement order has entered production, cutting, sourcing, preparation, or reservation, it may not be cancellable, returnable, or refundable, except where the product is defective, non-conforming, incorrectly supplied, or where mandatory law provides otherwise.

For personalized products, the customer confirms that they own or have permission to use any logos, trademarks, designs, images, text, files, names, or other materials provided to CorkMart. CorkMart may refuse any customization request that appears unlawful, offensive, misleading, discriminatory, unsafe, technically unsuitable, or likely to infringe third-party rights.

10. Prices, Taxes, and Currency

```

Prices are displayed in Euros (€), unless another currency is expressly shown at checkout.

Prices, promotions, discounts, shipping rates, taxes, and availability may change without prior notice, but such changes will not affect orders already accepted by CorkMart, except in cases of obvious error, fraud, or legally permitted correction.

For European Union consumer orders, VAT is applied where required by law and displayed during checkout. For eligible EU B2B customers with a valid VAT number, VAT may be handled under the reverse charge mechanism where applicable and properly validated.

For exports outside the European Union, orders may be sold without Portuguese VAT where applicable. The customer is responsible for all import duties, customs duties, import VAT, brokerage fees, clearance charges, local taxes, administrative fees, and any other charges imposed by the destination country, customs authority, carrier, or broker.

CorkMart is not responsible for estimating or guaranteeing import duties, taxes, or customs charges unless expressly stated in writing. Customers should check local import rules before placing an order.

11. Payment

```

Payment methods available at checkout may include credit or debit cards, Revolut Pay, Scalapay, and other payment methods made available through our payment providers. Available payment methods may vary by country, order value, currency, device, customer type, or fraud-risk assessment.

Orders are generally processed only after payment has been authorized and confirmed, unless CorkMart has expressly agreed written credit terms for a specific B2B customer.

We may refuse, cancel, or delay an order if payment is declined, reversed, disputed, suspected of fraud, or subject to additional verification by our payment processors.

For high-value, B2B, wholesale, custom, or freight orders, CorkMart may require bank transfer, partial advance payment, full advance payment, staged payments, or a separate pro forma invoice.

Customers are responsible for any bank fees, transfer fees, currency conversion costs, chargeback costs, or payment provider fees charged by their bank or payment provider, unless mandatory law provides otherwise.

12. Shipping and Delivery

```

CorkMart ships from Portugal and may ship to multiple international destinations, subject to product availability, carrier coverage, customs restrictions, order type, and checkout eligibility.

Shipping options, prices, estimated delivery times, and restrictions are displayed at checkout where available. Delivery estimates are not guaranteed delivery dates unless expressly confirmed in writing by CorkMart.

Processing time is separate from transit time. Some products may require additional handling, production, stabilization, packaging, palletization, or freight preparation time before dispatch.

Customers must provide complete and accurate shipping information. CorkMart is not responsible for delays, failed deliveries, return costs, storage fees, or loss caused by incorrect, incomplete, outdated, or inaccessible delivery information provided by the customer.

The customer must cooperate with delivery attempts, customs clearance, identity checks, import requests, and carrier communications. Failure to do so may result in delay, return, storage, abandonment, or destruction of the shipment.

13. Delivery Terms, Risk, and Incoterms

```

13.1 Standard B2C and Online Orders

Standard online orders are normally shipped using reputable parcel or freight carriers selected by CorkMart. For non-EU deliveries, shipments are generally made under terms where the customer remains responsible for destination import duties, taxes, and customs charges.

For Consumer orders, risk of loss or damage generally passes to the Consumer when the Consumer, or a third party indicated by the Consumer other than the carrier, physically receives the goods, except where mandatory law provides otherwise.

13.2 B2B, Freight, Pallet, and Bulk Orders

For B2B, pallet, container, air freight, sea freight, bulk, or wholesale orders, specific delivery terms may be agreed in the quotation, invoice, pro forma invoice, or written order confirmation.

Where Incoterms are expressly agreed, they will apply according to the version stated in the quotation or invoice. If no version is stated, the most recent ICC Incoterms rules available at the time of the agreement will be used as a reference.

Where a B2B customer chooses or arranges their own carrier, freight forwarder, collection, or Ex Works arrangement, the customer is responsible for transport, insurance, export or import coordination where applicable, customs documents required at destination, and any damage, loss, delay, or cost occurring after the goods are handed over or made available as agreed.

13.3 Carrier and Customs Delays

CorkMart is not liable for delays caused by carriers, customs authorities, inspections, strikes, weather, force majeure events, incorrect address information, import restrictions, non-payment of duties or taxes, or events outside our reasonable control. This does not limit any mandatory rights available to Consumers.

14. Failed Delivery, Refused Shipments, and Customs Issues

```

If a shipment is refused, unclaimed, returned, delayed, stored, abandoned, or destroyed because the customer refused delivery, failed to pay import charges, failed to provide customs information, provided incorrect delivery details, or did not cooperate with the carrier or customs authority, CorkMart may deduct from any refund all reasonable costs incurred.

Such costs may include original shipping costs, return shipping costs, customs duties, import VAT, brokerage fees, carrier administration fees, storage charges, handling charges, and other costs charged to CorkMart.

If return, customs, storage, or recovery costs exceed the value of the goods, or if the shipment is abandoned or destroyed by the carrier or customs authority, no refund may be available, subject to mandatory consumer rights.

15. Returns, Refunds, and Right of Withdrawal

```

Returns, refunds, cancellations, defective products, damaged goods, and the statutory right of withdrawal are governed by our Return, Refund & Withdrawal Policy, which forms part of these Terms.

Consumers purchasing eligible non-customized goods online may have the right to withdraw from the contract within 14 calendar days of receiving the goods, without giving a reason, subject to legal exceptions.

The right of withdrawal does not apply, where permitted by law, to goods made to the consumer’s specifications or clearly personalized, including custom-cut, made-to-measure, engraved, printed, branded, modified, or special production items.

B2B, wholesale, trade, professional, and commercial orders are not covered by the consumer right of withdrawal and are generally final, unless otherwise agreed in writing or required by mandatory law.

16. Legal Guarantee and Product Conformity

```

Consumers may benefit from the statutory legal guarantee of conformity applicable under Portuguese and European consumer law.

For consumer sales of movable goods under Portuguese law, the legal guarantee period is generally 3 years from delivery, subject to the conditions, limitations, burden of proof rules, and remedies provided by applicable law.

A product is not defective or non-conforming merely because of:

  • natural cork colour, grain, density, porosity, pattern, texture, or shade variations;
  • normal wear and tear;
  • incorrect installation, cutting, sealing, gluing, application, storage, cleaning, or maintenance;
  • use in unsuitable humidity, heat, sunlight, substrate, chemical, or environmental conditions;
  • damage caused by misuse, negligence, accident, transport arranged by the customer, or third-party handling;
  • modification, repair, treatment, painting, drilling, trimming, or alteration carried out by the customer or a third party;
  • incorrect measurements, specifications, drawings, artwork, files, or instructions supplied by the customer.

17. Customer Responsibilities for Installation and Use

```

Many cork products require correct handling, acclimatization, storage, installation, substrate preparation, adhesive selection, sealing, maintenance, and environmental control.

Unless CorkMart expressly provides installation services under a separate written agreement, the customer is responsible for installation, professional assessment, technical suitability, compliance with local building standards, and correct use of the products.

CorkMart is not responsible for product failure, damage, performance issues, or project losses caused by incorrect installation, unsuitable substrate, humidity, water exposure, incompatible adhesives, lack of acclimatization, incorrect storage, improper use, or failure to follow applicable technical guidance.

Where the customer is unsure about suitability, installation, or technical performance, the customer should request advice before purchasing and consult a qualified professional before installation.

18. Quotations and Special Orders

```

Quotations issued by CorkMart are valid only for the period expressly stated in the quotation. If no validity period is stated, the quotation is valid for 7 calendar days, unless withdrawn earlier due to stock, supplier, currency, freight, or pricing changes.

Quotations may be subject to stock availability, production capacity, freight rates, customs requirements, minimum order quantities, packaging constraints, and technical feasibility.

A quotation does not reserve stock, production capacity, pricing, or freight rates unless CorkMart expressly confirms this in writing.

19. Promotions, Discounts, and Gift Codes

```

Promotions, discount codes, special offers, and gift codes may be subject to specific conditions, expiry dates, product exclusions, minimum order values, geographical restrictions, and one-use limitations.

Discount codes cannot be exchanged for cash, applied retroactively, combined with other offers unless expressly stated, or used in a fraudulent or abusive manner.

CorkMart may suspend, cancel, or refuse promotional benefits where there is suspected fraud, abuse, technical error, or breach of the promotional terms.

Promotional pricing does not remove mandatory consumer rights where such rights apply.

For B2B customers, and to the maximum extent permitted by law, CorkMart’s total liability in connection with an order is limited to the amount paid by the customer for the specific product giving rise to the claim.

This limitation does not affect remedies that Consumers may have under mandatory consumer protection laws.

To the extent permitted by law, you agree to indemnify and hold harmless CorkMart, its directors, employees, contractors, suppliers, partners, service providers, and affiliates from any claim, loss, liability, damage, cost, or expense arising from:

If such an event affects an order, we will take reasonable steps to inform the customer and find a fair solution, which may include delayed delivery, partial delivery, replacement, cancellation, or refund where appropriate and required by law.

28. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

33. Governing Law and Jurisdiction

These Terms and any contract between CorkMart and the customer are governed by the laws of Portugal.

For Consumers, this choice of law does not remove or limit any mandatory consumer protection rights that may apply in the consumer’s country of residence.

For B2B, wholesale, trade, professional, and commercial customers, any dispute arising out of or related to these Terms, quotations, invoices, or orders shall be submitted to the competent courts of Porto, Portugal, unless CorkMart chooses to bring proceedings in the customer’s place of business or another competent jurisdiction.

For Consumers, jurisdiction will be determined according to applicable mandatory consumer protection and procedural rules.
